METHODS OF ACCEPTANCE AND TERMS OF AGREEMENT:

Acceptance of this offer is limited to the express terms stated in this Order. Any proposal in Purchaser’s acceptance or additional or different terms or any attempt by Purchaser to vary in any degree of any of the terms or any attempt by Purchaser to vary any of the terms of this offer is objected to and hereby rejected, but such proposals shall not operate as a rejection of this offer, unless such variances are in the terms of the description, quantity, price, or delivery schedule of the Products, but shall be deemed a material alteration of this Order and this offer shall be deemed accepted by Seller without said additional or different terms. Once accepted, this Order shall constitute the entire agreement of Seller and Purchaser. Seller is not bound by any representation or agreements, express or implied, oral or otherwise, which are not stated within this Order or contained in a separate writing supplementing this Order and signed by authorized agents of both Seller and Purchaser.

FEES

Hemp'dIn LLC has a fee of 10% minimum per transaction that will be subtracted from any sale.

TIMING OF DELIVERY AND SHIPPING:

Orders are processed in the order of their acceptance by Seller. Seller will use its reasonable efforts to deliver the Products to Purchaser within 3-5 business days or on the scheduled delivery date on the face hereof. However, shipping and delivery dates are acknowledged to be estimates only and dependent upon many factors outside of Seller's control. Seller is not liable for delays or damages caused by delays in delivery or shipment of the Products.

Risk of loss of the Products shall pass to Purchaser as soon as the Product is properly loaded on the carrier. Seller’s responsibility for shipment ceases upon the delivery of the Product to a transportation company, if applicable or upon Purchaser retrieving the Products from Seller. Purchaser shall carry such fire and other insurance as necessary to protect its interest and the interest of Seller. Any claim by Purchaser for shortage in shipment shall be made within ten (10) calendar days after receipt of the shipment. For a shortage claim please contact, taylor@hempdin.com.

It is specifically agreed that the risk of loss shall not be altered by the fact that the conduct of either party hereto may constitute a default or breach. The shortage in shipment notice must be in writing within ten (10) calendar days and further, shortage in shipment is not deemed to constitute a nonconformity. Any notices pertaining to rejection or claims of nonconformity must be made in writing specifying in detail Purchaser’s objections. Should the Product fail to comply with the specifications set forth on the face of this Order, Supplier shall, at Purchaser’s option, either (i) accept return of the Product and repay the full purchase price; or (ii) substitute Product that complies with the specifications. Such notices must be delivered within ten (10) calendar days after delivery of the Product. It is agreed that in the event of rejection, Purchaser may in no event resell the Product, even in the absence of instructions from Seller. Should Purchaser sell the Product, such sale shall be deemed an unequivocal acceptance of the Product. If Purchaser accepts Product tendered under this Order, such acceptance shall be final and irrevocable; no attempted revocation shall have any effect whatsoever.

DISCLAIMER OF WARRANTIES.

Purchaser agrees and accepts that plant tetrahydrocannabinol (“THC”) levels may vary. Seller is not responsible for such variances in the Products. Seller does not guaranty the success of any uses for which Purchaser may use the Product.

OTHER THAN AS STATED ON THE FACE OF THIS ORDER, SELLER MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE PRODUCT, INCLUDING (A) WARRANTY OF MERCHANTABILITY; or (B) WARRANTYOF FITNESS FOR A PARTICULAR PURPOSE; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.
